06 September 2011 Whether managerial remuneration total limit of 11 % as per section 198 includes remuneration given to ordinary directors as per section 309 ( maximum limit 3 %).

06 September 2011 in my view,

11% for:

5% - Per executive
10% - more than one Executive Director.
1% - If the company has a Non executive Director.

then the 3 % for:

if a company having more than one, managerial person na then non executive director - 1%.

If the Company has Non executive Director only na the whole Amt will not exceed 3% of Net profit.,
