Suppose a Pvt. Ltd. co. X has taken loan from co. Y of Rs.2500000 on 05/05/2012. On 01/10/12 Co. X alloted 100000 shares @ Rs.15. Can X co. set off amount of loan against allotment

I CAN NOT UNDER STAND FROM A PVT LTD CAN NOT TAKE LOAN.
AND YOU CAN NOT TAKE CONVERT LOAN IN SHARE CAPITAL.
FOR SAFE SIDE YOU GIVE BACK CHAEUQE THEN RECD AS A SHARE APPLICATION MONEY AND ISSUE SHARES
AND YOU CAN NOT TAKE CONVERT LOAN IN SHARE CAPITAL.
