Issue of cummulative reddemable preference shares

08 April 2011 Dear Sir,

A public listed company has authorised capital of Rs. 345 crore out of which 40 crore is equity and rest is preference share capital. company has issued, subscribed and paid up capital equity of Rs. 39114100. under CDR Scheme of the company, the company has also issued 15 crore cumulative redeemable preference shares (CRPS). On Mca site, in company master data, issued capital is still 391141000. company has also filed form 2 for the allotment of these CRPS. Should it not be shown as total issued capital. If not why. please explain in detail.

18 April 2011 The total capital should be shown as new issue + old issued capital.

First please find out whether submited form 2 has been approved if not regularise the same.

If the same has been already approved then take a print out of master data form mca web site and on the right hand side please enter the correction required and sign the same and submit to your company regional registrar of companies along with copy of form 2.

Then same will be corrected within 15days from the day of submission.
