Can a Private Company Issue 0% convertable preferance shares at premium?

There is no bar in the Companies act to issue Convertible debenture by a Private Limited Company at a premium.

No Convertible preference share is not a debenture. It is a part of the Company. Your Cpaital clause of Memo should contain the amount up to which a company can issue Convertible preference share. If there is no provison in MEMO. You first has to amend Memo & Article
