21 December 2009 “Resolved that the directors of the company be and are hereby authorised to act, jointly or severally, as per Boards’s Instruction and also to furnish certified true copies of the Board Resolutions to Various authorities, institutions like Banks in India and abroad etc., and it shall constitute necessary authority for the said authorities, institutions, etc., to rely upon and act according to the decisions as communicated in the said resolutions.”

Whether the resolution is correct. or we have to Particularly mention the names of the directors.

22 December 2009 It is better to metion the individual names because if you do not mention the name, then the autorities to whom the resolution is given will require a seperate list of directors.
