13 January 2014 1. Whether any alteration required in AOA if AOA mention that" The authorised share capital of the company such that stated in Cluse V of MOA" If yes the resolution should be SR or OR ?

2.Further that, for increase in authorised share capital and change in MOA special rosulation or ordinary resolution required?

FOr attaching in Form -5 can we say that-

"The certified true copy of special resolution passed at EGM"
for all the three act visa Increase in authorised share capital, change in MOA and chnage in AOA.

13 January 2014 Dear Asad,

If your Articles spells as mentioned in point 1 above, you do not need to alter the Articles of Association for increase in authorized capital. Amend the MOA only by passing an ordinary resolution in an EGM.

You can use the wordings 'The Certified true copy of the ordinary resolutions passed at the EGM held......'
