Incorporation of pvt. ltd. company

15 March 2012 Please let me know the incorporation procedure for converting partnership firm to Pvt. Ltd company. How many days will it take? What is fees charged by ROC and CA's/CS's signing it? and all the compliances of a pvt. ltd. company under company law regarding meetings, resolutions etc. and under income tax act.

16 March 2012 Thanks for the reply. There are only 2 partners in the firm so can it be converted to pvt. ltd.? If yes then we have to file DIN1 before name approval or afterwards?

17 March 2012 You cannot convert the firm into Pvt ltd but you can incorporate a company and take over the partnership firm through mentioning the take over of the firm in the MoA.

First you get the DIN for the proposed directors of the company and file the form1A to get the name approval.
