Incorporation of a private limited company

I have hereby received a request for incorporating a private limited company with the facts being the following:
1. All the shareholders are foreigners.
2. All the Directors are foreigners.
3. But the Company wants to have place of registered office in India and carry on its operations in India.
Please guide me through this case.

Hi Avinash,
You can incorporate a Private Company in India with all the Directors and foreigners and shareholders beeing foreign nationals but the place of registered office should be in india.
In your case point no. 1, 2 & 3 mentioned by you is valid. Therefore, you can incorporate the pvt. company in india
