Fraud made by pvt ltd company

if a pvt ltd company not performs his work as per agreement then what protection is in hands of a person. agreement related to franchisee agreement. co. not paid the remuration fixed by them as per franchise agrement over a period of 4 months. and also files suit against franchers center for defaulter. please provide necessary information relating to this.
Actully i want to ask experts decesion in favour of franchiser(the person who take the franchisee)against the company. becoz he invested amount in company.

The company has following recourse:
1). to rescind the contract
2). sue for damages
3). sue for breach of contract.
4). Specific performance of the Contract.
