15 May 2010 Can anyone please provide me procedure of forming Wholly Owned Subsidiary of public company.Public company is situated in India.Public co. wants to form private WOS co.

17 May 2010 the procedure will not change much. Only few points are to be taken care.

All the process from name approval stage should be done specifying that the company would be a wos of the public limited company.

After name approval is obtained, the MOA/AOA should have in the subscribers list the name of the public limited company as the first subscriber. The other one subscriber may be made to hold 1 share on behalf of the public limited company. After incorporation, make the necessary declarations stating that the beneficial interest of the 1 shares is also with the public limited company.

17 May 2010 sir can u please provide me format of last page of MOA where subscriber will sign? n in subscribtion page can one person sign for both subscriber?
