26 July 2011 Procedure to Incorporate of Company

Step 1: DIN to Directors

Step 2: Apply Digital Signature to Authorised Person, who signing the E-Forms

Step 3: After Getting DIN & DSC

Step 4: Form 1A for Name availability

Step 4: After getting Name approval from ROC than prepare Memorandum and Articles of the Company.

• Main Object should significant with the nature of the business.
• Subscriber should sign, name of the subscriber, age, Husband/Father name and address to be fill in own hand writing of the last page of the Memorandum & Articles of the company.
• If Promoter and Director is the same person, The Address should be as per the DIN application.
• Subscriber should give how many shares to hold from the company.
• Power of Attorney in 20 rupees stamp paper, any one of the promoters name.

Step 5: Form 1 for Incorporation

• To attach scanned copy of MOA, AOA, Letter of Authority and details by subscribers to form 1
• The attachment should be in PDF format

Step 6: Form 18 – Place of Registered Office of the company

Step 7: Form 32 – No. of Directors

Step 8: Incorporation certificate will Issue RoC after getting approval from the registrar.

Note:

The E-forms file size should not exceed 2.5 M B for uploading the forms.
