Can a non-executive director sign the Form 32 to appoint a new director ? also what is the procedure for change from non executive to excutive director ?

A non-executive director when appointed to discharge a specific day to day operation of the company through a resolution of the Board or company as provided in AOA, he becomes executive director.

My Specific question is that :
At the time of incorporation of company a pvt. ltd.(Incorporation date is 30-10-08), out of 3 director, 2 is non executive and 1 is executive director.
Executive director are giving resign and other 2 are ready to become excutive director.
in such case what should i do ?

The letter dated...from Mr....(name of the resigning executive director)resigning the post of executive director was placed before the Board and
It was resolved to accept the same with effect from.......
The Board wanted to entrust the .....(name of the function looked after) day to day responsibilities to Mr.......(name of the willing director) and appoint him as executive director with effect from......at a salary of Rs........per month and offered the position accordingly. The offeree accepted the offer and
