While filling form 32, it is asking atleast one manager or secretary of pvt ltd company.

Is it mandatory to provide and if yes can one of direction can be also manager same co.

05 December 2012 As per section 269(1)of companies Act, for publc company or Private company subsidiary of public company having paid up capita of Rs 5 cr need to appoint a manager and Form 32 need to be files with 30days of appointment

As per section 383A : any company whether public or private having paid up capital of Rs 5Cr or more need to appoint whole time secretary who is member of icsi , and form 32 need to be filed within 30 days of appointment

In your case : if Paid up capital of company is less than 5cr company is not required to appoint Manger or secretary

05 December 2012 thanks Neha Mam. But while filling form no. 32 it is asking in no. of manager or secretary should be greater than 0. And in our case paidup capital is only 1 lacs.
