Foreign company registration no. (inc-1)

27 April 2015 Dear Experts,

We are supposed to incorporate subsidiary of foreign company. Foreign Company is Hong Kong based and we have registration no. that company. But while filling INC-1 form is not taking foreign Companies Registration No. said CIN/FRN is invalid.
Kindly solve the query and do the needful as early as possible.

Is the Hong Kong based company registered with MCA as Foreign Company under Companies Act, 2013?

No, then what are procedures to register with MCA and if Yes , then what are steps for further proceddings. I am requesting you to please guide us on this issue and do the needful.

27 April 2015 You do not need to do registration of foreign entity as Foreign Company. It is not mandatory. The Hong Kong based parent company is not a Foreign Company as defined in Companies Act.

Here, Foreign Company means a "Foreign Company registered under the Companies Act 2013 and have been issued FCRN. All entities incorporated outside India are not Foreign Company as defined in Companies Act 203.

In form INC-1, in category column, You need to select 'Company incorporated outside India' because if you select 'Foreign Company' it will ask you FCRN and your foreign entity is not registered as Foreign Company under the Act. Once you select 'Company incorporated outside India', you need to provide registration number but you do not need to click on pre-fill button. Just write as it is and write the name of entity manually.
