02 August 2011 Dear Experts,

If the Board fails to appoint the First Auditor within one month of incorporation or in First Board Meeting, then are the Directors of the Company in default?

06 August 2011 Thank you for your reply.
But what about the Directors. Are they in default?
If you refer Companies Act, there is no where mentioned about the Directors being in default.

09 August 2011 no they r not in default personally.

simply hold general meeting and appoint first director.

read section 224(5).
