Finalization of minutes

Hi,
As per Sec 173 of CA 2013, where Board meeting is held at shorter notice and in absence of Independent Directors, the minutes has to be circulated to all the directors & shall be final only on ratification by Independent Directors.
In the above case, where co. is not required to have ID then minutes shall be considered as final by circulation or it should be ratified by all Directors (whether present or not in the BM)?
