No need to file Form MGT-14. As taking over of proprietory concern is Board's matter. Board can pass resolution for the same. No need to take approval of Members in General meeting.
If you know, as per Notification dated 05.06.2015, Pvt Co do not require to file Form MGT-14 for any board resolution passed in Section 179(3) and corresponding rules.
