Filing of form 32

30 November 2011 Dear Sir

We filed form 32 to ROC in 15/2/2008 for two of our directors. When we look in to the company master details recently the two were not in the signatory list. Right now we have only the challan with us. What we should do to make the two as signatories in the master data in ROC data base

30 November 2011 With the help of MCA log-in you may check the details of companies in which a person is holding directorships. So I would advise you to before taking any step plz check the status of those 2 directors in MCA site with the help of their DIN numbers.

I checked the same and found that the directorship ceased on 21/04/2009 where the appointment was on 24/01/2008. When I spoke to the person who was in charge at that time he told me that probably DIN 3 may not filed at that time. What steps can solve the issue if it is so

30 November 2011 I think now you cannot file DIN 3 since they are not associated with the company now.

So first appoint them as director a fresh by filing back dated form 32 with late fee. After that file DIN 3. But plz check whether the same in sync with your previous year Annual return?

30 November 2011 In case of directors, managers or secretaries appointed till 30th June, 2007, filing of form DIN-3 is mandatory. However, for appointments made on or after 1st July, 2007, form DIN-3 is not required to be filed.

So in your case question of DIN 3 doesn't arise as the director in your case was appointed in 2008.

Talk to your concerned roc about the issue.
