Enhancement of remuneration of wtd

16 January 2012 In a Company if we want to enhance the remuneration of Whole Time Director which is exceeding Rs 50000 and WTD is Brother in law of Managing Director ,then :
A)Is Section 314 Applicable
B)if not then is it sufficient to pass Ordinary Resolution in General meeting..
Please guide me .

17 January 2012 Section 314 is not applicable in case of appointment of WTD. And he can be paid remuneration as per Sec 309 and Schedule XIII.
