e form filling in case of death of director-URGENT??????????

12 February 2010 hello friends,

One of my company managing director has expired and i have some doubts regarding statutory provisions can some body solve my problem:-

a) Whether it is mandatory for me to call a director meeting urgently?

b) which kind of eform i have to filled and in which stipulated time?

Dear friends I am drafting an agenda for consortium meeting of bankers. I want to incorporate this disaster in agenda and its minutes also. Can some body tell me how i can incorporate this news in agenda and in minutes.

12 February 2010 1. If you need to appoint some one else as MD for compliance under Companies Act than Yes you have to call Board Meeting for appointing other person as MD.

2. For death of MD you have to file Form 32 within period of 30 days from the date of the death of MD with the attachment of Death Certificate or any other proof.

3. In agende you can state as "To note the casual vacancy of a Director"

4. No need to pass resolution, but yes you have to note the death of a MD.
