Dear frndz,
my query is - If 3 directors of pvt company want resignation from 4th director , can they do it and consider it also that 4th one is dening for resignation?

He can be removed from his office under Section 284 of the Companies Act 1956.

thanks vivek .....but one more think that director is also a shareholder of that company and is there any provision or solution,so that company can get share form that director....actually that director is also dening to transfer the shares

As per the provisions of the Companies Act there is no compulsion on him to transfer his shares..But if your articles obliges him to do so he has to transfer..See ur articles
