A director of a company is too sick to send the Letter of Leave of Absence for the board meeting.

How is this situation to be taken note of in the Board Meeting ?
How should this be recorded in the minutes - draft resolution required please.

20 August 2018 Any person on behalf of sick director can communicate the company secretary/Chairman about the serious sickness of the director and request to grant leave of absence.

in minutes you can write the following

Mr. ___________________on behalf of Sri_________________ director has communicated the serious illness of
Sri.______________ and expressed his inability to attend the Board Meeting and requested for leave of
absence. Board has granted Leave of absence for not attending the Board Meeting.
