Can a director of a Public Limited Company be removed without obtaining his resignation. If yes, plz tell me the procedure.

Yes a director can be removed from a public company without his resignation.
1. Shareholders give notice to company under Sec 284
2. Company includes the mention of the notice in its notice of general meeting(special notice for such resolution).
3. A resolution is passed in General meeting(ordinary)
4. Necessary forms filed with ROC
