10 September 2008 Can anybody provide some case laws holding that interest of co. is separate from its director or shareholders.

this is urgent.

10 September 2008 Why case law? It is obvious; the very fact that directors, individuals and company are separate legal persons is a good enough basis. But I will give following examples to prove my statements.

When a company is in trouble a shareholder is under no compulsion to contribute. They can just leave the company to die.

Whether a company makes profit or loss the MD or WTD can draw remuneration even if the company bleeds!
