07 September 2016 An additional director was appointed in a board meeting, and in the same meeting notice of AGM was approved where the same resolution was placed for regularizing his appointment. Do we require to file two forms or one DIR-12 is sufficient for his appopintment?

09 September 2016 In such case, pass a resolution in board meeting to appoint a person as Director under Section 152(2), subject to approval of Members in General Meeting. In general meeting, approve the resolution to appoint him. Within 30 days from the date of AGM, you can file Form DIR-12.

However,. if you pass a resolution in board meeting to appoint additional director as per Section 161(1), then you will require to file Form DIR-12 twice. Once after Board meeting and another after AGM. This procedure should be avoided in your case.

Follow the first process which I have mentioned above.
