Delay in roc formalities by newly formed company

One of my clients company was formed in Jan 2011 and till date they have not done any audit, ROC filing nor any income tax filing.
They want to regularise now.
How to proceed?

The company should file all document immediately otherwise they will be issued with show cause notice and the uploading of Annual Return with Balance Sheet is to be done on payment of additional fee
