A closedly held Public Company ceased its distribution of Pharma company from January,1998 and they had filed Annual Return, Balance Sheet till 31st March, 1997. All four Directors are not in touch with each other (one in Dubai). There are assets or liabilities.
How to file application under EES 2010?
1. Have they ceased to be Directors after 3 years? 2. Can they sign as Directors?
3.How the erstwhile Directors can give Indemnity?

The existing directors can give the indemnities as required under the EES. However, the roc may require the company to file the old returns (balance sheet and annual report).
It would be advisable to contact the ROC office and take their guidance also.

I understand the queriest has raised an additional point. I would still suggest that ROC should be consulted before filing the papers.
