14 January 2010 A Ltd is the subsidiary of XYZ ltd. to comply with the no. of shareholders in public Ltd company XYZ Ltd had appointed A,B,C,D,E,F as the nominee and their name is mentioned in the register of members as the nominee of XYZ Ltd.XYZ Ltd holds beneficial interest in the shares.And they had complied under Section 187C.

Now the A,B,C,D,E,F transfer the shares to P,Q,R,S,T,U but the beneficial interest remains with XYZ Ltd. the beneficial owner.

Now Form I has to be filed by P,Q,R,S,T,U

And Form II has to be filed by XYZ Ltd. and in Form II there is the column saying

Particulars of the person from whom the beneficial interest is acquired; if the transferor of the beneficial interest is also a person who held only a beneficial interest, state whether any declaration under sub-section (2) of section 187C had been made by him to the company. If so, the date of the declaration(s) made by him:

- If XYZ is Beneficial holder than state as "not Applicable"
- If any other party acquires BENEFIAL OWENERSHIP in the SHARES than name of XYZ with the date of Form II filed earlier by XYZ

Ans for Query II:
Certificate is applicable only when shares are transfered to other party as Beneficial owner (case 2 above) otherwise leave it blank

15 January 2010 Again reply remains same. It statees Transfer of Beneficial interest. in our case Beneficial interest reamins with XYZ only holder changes hence no details is required to be filed for that item
