18 August 2009 Dear Experts,

I have the following doubts, Plz clarify at your end:-

Can a private limited co. issue debentures & what r the requirements by Pvt Ltd. Co. to do so.

Futher, pl reply as per following queries :-

1) How can we got the debentures fom ROC ?

2) Shud v paid any duty to ROC for regd.
of such debentures like shares ?

3)in pvt. co. the debentures should be issued amoungst members & directos only ?

06 October 2009 Yes, Private Company can also issue the Debentures.

The requirement would be same as the Public Company.

(1) You have to print Debenture Certificate, It is not given by ROC.

(2) If the company issue debenture, then it is a charge that has to be regd. with ROC.
The stamp duty on the debentures will be paid by company by affixing the stamps to debentures.

(3)It is OK, If thec company issue the debenture to member & director. As Private company can issue debentures to these persons only.
