Can a Private Limited Company issue Unsecured Non-Convertible Debentures?
If so, What is the procedure and forms to be filed?

yes..... Debentures can be issued by private companies through private placement however since they are NCD u needs to comply with Deposits provisions refer section 73 with rules as well.....
