16 January 2009 Corporate governance is basically bringing in more ethical and transparent govenrance of a company by its board of directors in the general interest of its stakeholders and shareholders. The provision of inducting some minimum number of independent directors who are experts in their areas and do not have any stake in the company was brought about to check the free run by the promoters in rewarding themselves at the cost of shareholders.
