I wana to covert a Sole proprietorship Firm into private limited company , can any1 tell me the complete procedure /all steps to be followed/taken in detail........

There is no any spl provision. You should formation a pvt. ltd co. and make a clause in Memorundum & Articles of Association for taking over a proprietorship firm.
