Conversion of pvt ltd co. into llp

26 February 2016 I have to change the name and object of the Co. & convert Private Limited Co. into LLP.
Should i change name and object first then convert or Firstly convert it into LLP and then change name and object??

28 February 2016 I will suggest to Change Name and Object first then go for the LLP.
Because if you will change after conversion then you have to prepare the agreement again and all.

Even some objects are not allowed in LLP so its better to alter the object before conversion.

01 March 2016 Thanx Divesh, but if i ll change name and object first, then i have to prepare AOA and MOA again and fees will be more in that case (Form INC-1, MGT-14 and INC-24).

Please confirm me if there is any objection in changing the name and object after conversion.

12 March 2016 First of all file form 1 for name availability of LLP.

12 March 2016 if first you will convert then go for change of name and change in object.
Then you also need to make payment in LLp Extra.
Extra stamp duty on preparation of addendum of LLP.
