Conversion of public co to pvt ltd and name change

17 May 2010 i have a public ltd co (Say "AB Ltd")(shares not listed). now i want to change it into private ltd and also its name to "PQ Pvt Ltd". can i do both simultaneously or will have to do it one by one??
Also can you help me with the procedure of the same??
