pls let me knw that for converting public co. into pvt co. do i need to take spl resolution u/s 21& 31 in EGM???? i have to conduct EGM for this matter???

22 December 2011 Yes,

For conversion of the company into a private company, you have to alter the articles to insert therein the four conditions specified in section 3(1)(iii)and you have to change the name of the company, so as to insert the word 'Private' in the company's name before the word 'Limited'.

For that you have to call an EGM and pass a Special Resolution.
