Dear Sir,
I am having a propritor ship company I want to convert in to pvt ltd co. so what is the procedure for that and what expenses should I have to pay for that.

You will have to form a company with the desired name.
Don't forget to mention in the object clause "to carry on the business of ......"
For Income Tax this will not be a transfer and will be exempt from Capital Gains.
