28 February 2012 Can we confirm the directorship of a additional director in EGM held after AGM. For example appointment of a additional director appointed in May 2011 can be appointed as normal director in EGM held in November 2011. AGM dt is 30th sept.

Additional director need to be appointed as a normal director in AGM i.e on 30TH SEPT. As additional director ceases to hold office on the date of the AGM held next after the date of his appointment as additional director.- Sec 260

28 February 2012 Since the term of appt of additional director expires on the next AGM after appointment, it is not possible to confirm appt in EGM held after AGM as he ceases to be director on AGM if he is not confirmed as director.

As per section 260, Additional Director shall hold office upto the date of ensuing AGM!!!!
