Dear Professionals
Please advice if there is any form or return that needs to be filed with ROC by a Company [b]Limited by Guarantee (i.e. not having share capital)[/b] for any change in the number of its members.
Does it make any difference if the said Company is a Section 25 Company.

As per section 97 of companies Act 1956
where a company, not being a company limited by shares, has increased the number of its members beyond the registered number, it shall file with the Registrar, notice of the increase of members within 30 days after the passing of the resolution authorising the increase;
