What is liability of members and directors in pvt.ltd. Co. In case of non payment of bank loan and unsecured taken by pvt. Ltd. company is legal ly active but continues change in board of directors who is responsible for the liability

Please describe your question appropriately.... According to what I could understand There is no liability on the members of the Company other than amount not paid up on the shares held by them same as in case of liquidation/winding up. Conduct of Directors will decide whether they are liable or not. For further queries please provide some details.
