Clarity about sec 264

Section 264(3),of the Companies Act 1956 says that "This section shall not apply to a Private Company unless it is subsidiary of a Public Company."

So does that mean that the appointment of Director in a Private Co., which is not a subsdiary of a Pulic Co., need not be intimated to ROC??

29 August 2009 hi,

264(3) deals with the consent of director which an individual director has to give to company for appoinment and attaching the same consent letter of director along with Form 32.

This does mean that in Pvt Co eForm 32 is not required. In Pvt Co only consent letter is not required to be attached alongwith the eForm 32.
Hence u have to file eForm 32 even in Pvt Co.
