19 July 2024 Notification No. GSR 59 dated January 6th, 1959, pertains to the requirement for foreign companies operating in India to file annual returns with the Registrar of Companies (ROC). Over the years, there have been several amendments and updates to the regulations governing the annual filing requirements for foreign companies in India. Here’s an overview of the current status and key changes:

### Current Status and Changes:

1. **Amendments to Companies Act, 2013:**
- The Companies Act, 2013, and its related rules prescribe the requirements for foreign companies operating in India, including annual filing obligations.
- Section 381 of the Companies Act, 2013, specifies that every foreign company is required to file with the ROC annual returns containing specified information.
- Rules such as the Companies (Registration of Foreign Companies) Rules, 2014, provide detailed procedures and formats for filing annual returns and other documents by foreign companies.

2. **Clarifications and Circulars:**
- The Ministry of Corporate Affairs (MCA) periodically issues circulars and clarifications to provide guidance on compliance with the Companies Act and related rules.
- These circulars may address specific issues related to annual filings, reporting requirements, deadlines, and forms to be used by foreign companies.

3. **Online Filing and Compliance:**
- The MCA has transitioned to a digital platform (MCA21) for filing and compliance management. Foreign companies are required to use this platform for submitting their annual returns and other documents electronically.

4. **Penalties and Consequences:**
- Non-compliance with annual filing obligations can lead to penalties and other consequences under the Companies Act, 2013.
- It’s crucial for foreign companies to adhere to the prescribed timelines and requirements to avoid penalties and maintain compliance with Indian regulations.

### How to Stay Updated:

- **MCA Website:** Regularly check the official website of the Ministry of Corporate Affairs (MCA) for updates, notifications, and circulars related to foreign companies and their annual filing requirements.
- **Professional Advice:** Seek guidance from a qualified company secretary or legal advisor who specializes in corporate law to ensure compliance with current regulations.

### Conclusion:

While Notification No. GSR 59 dated January 6th, 1959, laid the foundation for annual filing requirements for foreign companies in India, subsequent amendments and rules under the Companies Act, 2013, have provided clarity and updated procedures. It’s essential for foreign companies to comply with the latest regulations and guidelines issued by the Ministry of Corporate Affairs to avoid any legal implications.
