05 October 2011 A private limited company has two directors. One Director in India and One Director abroad. Since only one Director is in India a Board meeting could not be convened for want of quorum. Can it pass a Circular Resolution approving transfer of shares.

05 October 2011 U can pass Circular resolution subject to following conditions.

1] Board meeting is adjourned and some matter is pending.

3] Business matter is of routine in nature.

4] Some emergency has arisen to meet the emergency some action is necessary

If above conditions are satisfied then u may pass a circular Resolution.

Thanks for your reply. My question is can a circular resolution be passed if one director is in India and another director is in US for approving transfer of shares for a private limited company which has only 2 directors on its board.
