is it possible to change memorandum in books when one partner retires and two person join as a partner? plz ans. this

its a pvt.ltd. co.,a memorandum made in 1982 include three subscribers (director)out of which one director retires in 2006 and two family members join as a director so is it possible to change director name in memorandum?....resolution is passed in board meeting
