01 February 2012 We filed Form-1A with ROC to change our existing Pvt. ltd company name and approved the same by ROC. Kindly explain what is the next proceedure

01 February 2012 - Now convene a Board Meeting and Approve the Notice of AGM/EGM with Explanatory Statement

- Convene the general Meeting and Pass Special Resolution to Alter MOA (Name Clause) and AOA (Section 31 and 21)

- File E-Form 23 within 30 days of General Meeting (Section 23) with following Docs

A. Amended AOA
B. Amended MOA
C. Notice of General Meeting
D. Explanatory Statement
E. Resolution Passed

- File E Form 1B within 90 days of General Meeting

Make necessary Changes where name of company is appearing..

02 February 2012 Last FY We submiited Form 1B after amending MOA and AOA object clause.But Form 1B rejected with some reasons and same get lapsed. Now we filed fresh Form 1A for same.
My doubt is while showing changes in MOA and AOA which one we have to take as base whether original AOA and MOA or amended by last year but Form 1B not approved

02 February 2012 Form 1B is filed for approval of change in name. If name has not been approved by CG then No name change shall come into effect. So you are supposed to file original MOA and AOA.
