09 January 2012 One of client is Pvt ltd company having 2 directors, now one of director wants to leave the company and other director wants to add his wife as 2nd director. What would be procedure of same. And what would be roc fees for the same.

09 January 2012 Hold a board meeting and appoint one person as additional director under section 260 (check your articles for provision) then accept the resignation of the desiring director, File Form 32 for both the directors.

Upto Rs. 5 Lacs- 200/-

5 lacs or more but Upto Rs. 25 Lacs - 300/-

25 lacs or more- 500/-
