What is the procedure of change of directors of a private company in ROC office?

simple procedure in the case of pvt company to appoint additional director under section 260 (after checking Articles) and then file form 32 within 30 days from the date of appointment. He will hold the position as additional director upto the date of next AGM.

In case you want through directly induct a Director then hold the General Meeting and pass the resolution and thereafter file 32 within 30 days of appoinment.
Make sure to take the consent in writing with the Director.
