Pls provide case referenace to disputed in BOD of Companies where only Two Member having 50% 50% share holding and both are director in Company.

What is the dispute? On passing resolution? There will be dead-lock.

One director is not attending metting regular. Whenever Notice of BM is issued he requesting for adjrn of meeting. He also not permit to appoint another person as additional director

If the shares are exactly equal and no other shareholder exists, it is a problem unless the shareholding agreement between them provides any remeady. Otherwise the director should petition the Regional directot CLT.

The director who wants justice can apply to CLT u/s 398 of Companies Act, if he is amember of the company.
