I have, recently, completed CA and have joined a CA firm. Now my boss is offering me partnership in his firm. what matters should i keep in mind?

See this is happening at many places.
I would suggest you to not to sign this kind of partnership until and unless you know that firm really very well for a long time and you are a trained player in market.
With compliance requirements and rigid penal provisions in companies act 2013,its not better to venture in a firm which is new to you.
Check out goodwill,past history,experience of the fellow employees who have been associated with the firm like this.
