Any one please let me confirm, Will accumulated reserves & surplus in a Private Limited Company be considered as deemed dividend in the the fourth year?

No. Section 2(22)(e) does not support any such provision or interpretation.

NO. deemed dividend can be considered on when distribution of assests or distribution as defined in Section 2(22)(e) is made.
