I want to whether a person or company of USA can invest in a private limited company in India. What is the procedure and taxation on the profit distributions.

Yes - he can invest. But if your business is in "approval" list of RBI, you have to get prior approval. If your business is in "Prohibited" list of RBI, you cannot invest. Depending on your nature of business I can advise you

The corporate tax rate + dividend distribution tax totally comes to nearly 48%. Balance dividend he can take it.
